Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Binfin8.

We respect the intellectual property rights of others and expect users of our services to do the same. We will respond to notices of alleged copyright infringement that comply with applicable law.

To the maximum extent permitted by law, Binfin8, its affiliates, officers, directors, employees, agents, suppliers, or licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the services
• Any conduct or content of any third party on the services
• Any content obtained from the services
• Unauthorized access, use, or alteration of your transmissions or content

In no event shall our total liability to you for all claims exceed the amount paid by you, if any, for accessing or using our services during the six (6) months prior to the claim.

You agree to defend, indemnify, and hold harmless Binfin8, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms and Conditions
• Your use of the services, including any data or content transmitted or received by you
• Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right
• Any claim that your content caused damage to a third party

We may terminate or suspend your account and access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms and Conditions.

Upon termination, your right to use the services will immediately cease. If you wish to terminate your account, you may simply discontinue using the services or contact us for account deletion.

All provisions of the Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms and Conditions shall be brought exclusively in the federal or state courts located in Santa Clara County, California, and you hereby consent to the personal jurisdiction and venue of such courts.

The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) do not apply to these Terms and Conditions.

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms and Conditions or the breach thereof, the parties shall first use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

If they do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules.

The number of arbitrators shall be one. The place of arbitration shall be Santa Clara County, California. The language of the arbitration shall be English.

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the services.

If any provision of these Terms and Conditions are held to be invalid or unenforceable by a court, the remaining provisions of these Terms and Conditions will remain in effect.

These Terms and Conditions, together with our Privacy Policy and any other legal notices or additional terms and conditions or policies published by Binfin8 on the services, shall constitute the entire agreement between you and Binfin8 concerning the services.

If any provision of these Terms and Conditions are deemed invalid by a court of competent jurisdiction, the invalidity of such provision shall not affect the validity of the remaining provisions of these Terms and Conditions, which shall remain in full force and effect.

No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and Binfin8's failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.
