You agree to defend, indemnify, and hold harmless Binfin8, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

Upon termination, your right to use the services will immediately cease. If you wish to terminate your account, you may simply discontinue using the services or contact us for account deletion.

All provisions of the Terms and Conditions which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to these Terms and Conditions shall be brought exclusively in the federal or state courts located in Santa Clara County, California, and you hereby consent to the personal jurisdiction and venue of such courts.

The United Nations Convention on Contracts for the International Sale of Goods and the Uniform Computer Information Transactions Act (UCITA) do not apply to these Terms and Conditions.

13. Dispute Resolution

In the event of any dispute, claim, question, or disagreement arising from or relating to these Terms and Conditions or the breach thereof, the parties shall first use their best efforts to settle the dispute, claim, question, or disagreement. To this effect, they shall consult and negotiate with each other in good faith and, recognizing their mutual interests, attempt to reach a just and equitable solution satisfactory to both parties.

If they do not reach such solution within a period of 60 days, then, upon notice by either party to the other, all disputes, claims, questions, or differences shall be finally settled by arbitration administered by the American Arbitration Association in accordance with the provisions of its Commercial Arbitration Rules.

The number of arbitrators shall be one. The place of arbitration shall be Santa Clara County, California. The language of the arbitration shall be English.

14. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms and Conditions at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the services.

15. Severability

If any provision of these Terms and Conditions are held to be invalid or unenforceable by a court, the remaining provisions of these Terms and Conditions will remain in effect.

No waiver of any term of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term, and Binfin8's failure to assert any right or provision under these Terms and Conditions shall not constitute a waiver of such right or provision.
